What is the difference between statutes and internal rules?
The statutes are the legal foundation, recorded by a notary and only changeable by notarial deed. The internal rules (HR) elaborate day-to-day matters and must not conflict with the statutes — but can be adopted and amended by the general meeting without a notary.
The internal rules govern the day-to-day matters you deliberately keep out of the statutes. This free model text gives you a complete base with all the usual articles.
